Danuta Pajewska

Danuta Pajewska heads the Capital Markets & Financial Institutions practice. She handles issues related to the law of securities, capital markets and financial institutions, capital market transactions, corporate governance and compliance, particularly for public companies, and outsourcing issues.

She is involved in preparing the legal sections of prospectuses and informational memoranda for the issues of shares, bonds and structured products. She advises clients on raising funds on capital markets, acquiring significant holdings in listed companies, performance of reporting obligations connected with capital market transactions, offering of foreign securities in Poland, and regulatory aspects of the operation of financial institutions (brokerages, banks, investment funds and insurance companies), as well as the sale of financial products and outsourcing of financial services. She represents many clients in proceedings before the Polish Financial Supervision Authority.

She became a partner at Wardyński & Partners in 2004.

In 1989–1990 she worked as a legal adviser at the Ministry of Finance and as an adviser to the Minister of Privatisation. Starting in 1991, she advised the chairman of the Polish Securities & Exchange Commission, subsequently becoming the director of its legal department. She co-authored the initial regulations on public trading of securities in Poland. In 1995–1999, she headed the Warsaw Stock Exchange Arbitration Court and until 2006 served as an arbitrator at the court. In 1995–1999, she worked as a legal adviser at the brokerage centre and investment fund of Bank Handlowy w Warszawie SA. She assisted in the privatisation of Bank Handlowy. She co-authored legal documentation for the creation and operation of Bank Handlowy’s investment fund company and the investment funds it managed. From 1999, she worked at Deloitte as a legal adviser and subsequently joined a law firm cooperating with Deloitte as the partner in charge of capital market issues.
